Bob Vaux is a partner and Co-Chair of the Corporate Securities Group at Goodmans. Bob’s practice focuses on all aspects of corporate and securities law, with particular emphasis on mergers and acquisitions, corporate finance (initial public offerings and follow-on financings) and contested governance matters (including proxy contests). He has developed a reputation for assisting in the structuring of novel and sophisticated transactions and dealing with complicated issues in a results-oriented manner.
Bob has been involved in the structuring and execution of a variety of M&A transactions, including complex international mergers and hostile take-over bids. He has also worked extensively with foreign-based private equity funds in connection with Canadian-oriented acquisitions and investments. He has been significantly involved in assisting companies with various corporate governance matters. Bob has also been involved in representing companies and individuals in connection with enforcement matters initiated by the Canadian securities regulators.
Bob is recognized as a leading M&A lawyer by The Best Lawyers in Canada and Chambers Global. He was named by Lexpert Magazine as one of “Canada’s Top 40 Under 40” in 2008.
Bob has co-authored a number of articles, including articles on directors' duties in the context of hostile transactions and corporate governance, and spoken at a number of conferences. Bob has also been actively involved in the securities law course at Osgoode Hall Law School and teaches at the University of Toronto as an adjunct professor.
