Tim Heeney is a partner at Goodmans. He specializes in corporate finance, mergers and acquisitions, securities law, private equity and restructurings of public companies. Tim has represented a broad range of clients on domestic and international mergers and acquisitions transactions of all sizes. Tim has also provided advice to special committees involved in M&A and other related party transactions.
Tim acts for both issuers and underwriters in connection with initial public offerings, private placements and follow-on offerings. Tim has also been involved in advising issuers and bondholders in connection with restructurings of public companies, providing him with insight to the full life cycle of many businesses. He also advises a number of Canadian public companies in connection with ongoing securities compliance and corporate governance matters.
Tim has been involved in establishing private equity and venture capital funds as well as advising lead investors.
Representative transactions in which Tim was involved include: Morneau Shepell’s financing for the acquisition of Lifeworks, the sale of Prodomax Automation to Jenoptik, the acquisition of Intrawest Resorts by KSL Capital and Henry Crown and Company; the merger of Ainsworth Lumber Co. Ltd. with Norbord Inc.; the sale of Protenergy Natural Foods to TreeHouse Foods.; the sale of Prime Restaurants Inc. to Fairfax Financial Holdings Limited; Counsel Corporation’s purchase of Street Capital; Morneau Shepell’s acquisition of Shepell•fgi; the acquisition of the Famous Players by Cineplex Entertainment; the sale of Somerset Entertainment to Fluid Music; the sale of Renée’s Gourmet Foods to H.J. Heinz Company of Canada Ltd.; the sale of SlipStream Data Inc. to Research in Motion Limited; initial public offerings of Cineplex Galaxy, Morneau Shepell, Somerset Entertainment and VOXCOM income funds; and the restructurings of Jupiter Resources, Concordia International, Pacific Exploration & Production, Millar Western Forest Products, Lightstream Resources, Connacher Oil and Gas, Armtec Infrastructure, Sino-Forest Corporation, Jaguar Mining, Compton Petroleum, Tembec, Ainsworth Lumber and Frontera Copper.
He is recognized as a leading lawyer in the area of corporate law by The Best Lawyers in Canada, The Canadian Legal Lexpert Directory and the Lexpert/American Lawyer Guide to the Leading 500 Lawyers in Canada. Tim was also recognized as one of Canada’s “Top 40 Under 40 Lawyers” by Lexpert magazine in November 2006.
He joined Goodmans in 1994, has been a partner since 2000.
