Summary

Goodmans represented Atlantic Power Corporation (the “Company”), an independent power producer with power projects located in major markets in the United States, in connection with a public offering in Canada and the United States of 6,029,000 of its common shares at a price of U.S.$13.35 per common share, which included 784,000 common shares issued pursuant to the exercise in full of the underwriters’ over-allotment option, for net proceeds of approximately U.S.$75.6 million. This offering was underwritten by a syndicate of underwriters led by BMO Capital Markets and UBS Securities LLC, who served as joint book-running managers, and included RBC Capital Markets, CIBC World Markets Inc., National Bank Financial Inc., Scotia Capital Inc. and TD Securities Inc.

Concurrently, the Company also completed a public offering in Canada of C$80.5 million aggregate principal amount of convertible unsecured subordinated debentures, which included C$10.5 million aggregate principal amount of debentures issued pursuant to the exercise in full of the underwriters’ over-allotment option, for net proceeds of approximately C$76.4 million. This offering was underwritten by a syndicate of underwriters led by BMO Capital Markets and included RBC Capital Markets, Scotia Capital Inc., TD Securities Inc., CIBC World Markets Inc., Desjardins Securities Inc., Macquarie Capital Markets Canada Ltd. and National Bank Financial Inc.
