Morneau Shepell Completes $75 Million Debenture Offering

Goodmans represented Morneau Shepell Inc. (“Morneau Shepell”) in connection with the completion of its public offering of $75 million aggregate principal amount of 5.75% convertible unsecured subordinated debentures due March 31, 2017, including $5 million of debentures that were sold pursuant to an over-allotment option that was exercised by the underwriters. The offering was underwritten by a syndicate of underwriters led by National Bank Financial Inc. and TD Securities Inc. and included CIBC World Markets Inc., Scotia Capital Inc., BMO Nesbitt Burns Inc. and GMP Securities L.P. The net proceeds from the offering will be used to repay indebtedness under the company’s revolving credit facility, providing borrowing capacity for general corporate purposes and future strategic acquisitions.
