Postmedia Network Completes Private Placement of $250 Million Senior Secured Notes

Goodmans represented Postmedia Network Inc. (“PNI”), a wholly owned subsidiary of Postmedia Network Canada Corp. (“PNCC”) (TSX: PNC.A, PNC.B) in connection with the completion of a Canadian dollar-denominated private placement offering of $250 million in aggregate principal amount of 8.25% senior secured notes due August 16, 2017. The notes are guaranteed by PNCC. The Notes were also offered in the United States to qualified institutional buyers under Rule 144A under the United States Securities Act of 1933, as amended, and outside the United States to non U.S. persons as defined in and in accordance with Regulation S under the Securities Act. The offering was underwritten by a syndicate of underwriters comprised of Scotiabank and Morgan Stanley, as joint bookrunners, and BMO Capital Markets, CIBC and RBC Capital Markets and co-managers.
PNCC is the holding company that owns Postmedia, the largest publisher by circulation of paid English-language daily newspapers in Canada, representing some of the country’s oldest and best known media brands. Postmedia used the net proceeds of the offering to repay in full its U.S.-dollar denominated term loan facility.
