Goodmans respresented OPE LGI Inc., a company managed by OMERS Private Equity Inc. and in which Société générale de financement du Québec owns an indirect minority interest, in its privatization of Logibec Groupe Informatique Ltée. The transaction was completed by way of a takeover bid (to which approximately 98% of all outstanding shares were tendered) followed by a compulsory acquisition transaction carried out under Part 17 of the Canada Business Corporations Act. The transaction value was approximately $231 million.
Senior financing for the transaction was provided by The National Bank of Canada, The Bank of Nova Scotia, Bank of Montreal, Business Development Bank of Canada and Société générale de financement du Québec. Mezzanine financing for the transaction was provided by Fonds de solidarité FTQ.
