Proposed Changes to the Private Placement Rules
The regulatory framework governing private placements in Ontario may be dramatically changed in the near future. Regulators have undertaken and disclosed significant analysis of possible reforms, and completed multiple public consultation processes concerning proposed new exemptions. There can be no assurance, of course, that the consultation processes will result in any changes to the regulation of the exempt market regime, or if they do as to the timing of those changes; nevertheless, the resources dedicated to the proposals and the consultation processes, and the tenor of the regulators' comments, suggest that changes are likely to come.
