After a lengthy process, the Canadian Securities Administrators have announced the adoption of fundamental changes to the regime governing the conduct of takeover bids in Canada.
Please join us as we welcome Naizam Kanji, Director, and Jason Koskela, Senior Legal Counsel, of the Office of Mergers and Acquisitions at the Ontario Securities Commission, along with Stephen Halperin of Goodmans, a key contributor to the new regime, as they provide their perspectives on important features of the changes and consequences, including:
- the rationale for the changes to the bid regime
- what impact the new rules will have on hostile bids
- expected bidder and board tactics
- the future role of shareholder rights plans (“poison pills”)
- the consequences for partial bids, and
- other defensive tactics
