“There are a bunch of provisions in the CBCA that need to be looked at and reviewed,” said Jonathan Feldman, a corporate and securities lawyer with Goodmans LLP in Toronto. “The statute itself is drafted in a way that is behind the times, even in basic areas like notice and access. Canadian securities regulators came up with a mechanism to facilitate the proxy voting system but there are provisions in the CBCA that make it challenging to provide absolute comfort that using notice and access would not be in violation of the corporate statutes.”
