Chris Armstrong is a partner in the Corporate Restructuring Group at Goodmans, which is consistently and widely recognized as Canada’s best and leading corporate restructuring practice.

His practice focuses on financial restructuring and insolvency, mergers and acquisitions and corporate law. He regularly acts for debtors, court-appointed officers, bondholders, purchasers and other stakeholders in complex Canadian and cross-border restructurings, as well as purchasers, vendors, secured creditors and receivers in distressed asset sales.

He has experience across a wide variety of sectors, including technology, retail, construction, pharmaceuticals and natural resources.

REPRESENTATIVE WORK

Chris’ representative work includes:

  • Nortel Networks - Representing the Canadian court-appointed “super monitor” in virtually all aspects of this multi-national insolvency proceeding involving coordinated CCAA, Chapter 11 and UK administration proceedings, including in connection with the sales of Nortel’s business units and patent portfolio for US$7.5 billion, the unprecedented cross-border trial to resolve various disputes among Nortel’s Canadian, U.S. and European estates, the claims resolution process, the sale of Nortel Canada’s IPv4 addresses, environmental matters, the restructuring and wind-up of Nortel Canada’s controlled subsidiaries in the Asia-Pacific region, the 2016 global settlement of the sale proceeds allocation dispute among the Nortel estates and their significant creditors, and the US$4.5 billion CCAA plan of arrangement implemented in 2017
  • Toys “R” Us - Representing Toys “R” Us Canada in its coordinated CCAA and Chapter 11 proceedings, including in connection with the successful going-concern sale of Toys “R” Us Canada to Fairfax Financial Holdings Limited for US$300 million
  • Crystallex International - Representing an ad hoc committee of Crystallex’s bondholders and Computershare Trust Company in its capacity as trustee in Crystallex’s ongoing CCAA proceedings and its efforts to enforce a US$1.3 billion ICSID award against the Republic of Venezuela for the benefit of stakeholders
  • Aralez Pharmaceuticals - Representing Nuvo Pharmaceuticals Inc. as the purchaser of Aralez’s Canadian business and certain U.S. assets for US$110 million in Aralez’s coordinated CCAA and Chapter 11 proceedings
  • Bondfield Construction and Forma-Con Construction - Representing Bondfield’s senior-secured lender in connection with Bondfield’s CCAA proceeding and the receivership of Forma-Con Construction, including in connection with the sale of Forma-Con’s business and other assets
  • Trump International Hotel Toronto - Representing the follow-on purchaser of the Trump International Hotel Toronto following the project being placed into receivership in 2016
  • Horsehead Holding Corp. - Representing the CCAA information officer in the Canadian foreign recognition proceedings of Horsehead’s Chapter 11 proceedings under Part IV of the CCAA
  • Smufit-Stone - Representing the CCAA Court-appointed Monitor in connection with the CCAA and Chapter 11 proceedings of Smurfit-Stone Canada, including with respect to its successful joint Chapter 11 and CCAA plan of compromise and arrangement
  • Eddie Bauer - Representing Eddie Bauer Canada in its joint CCAA and Chapter 11 proceedings, including with respect to the sale of Eddie Bauer to Golden Gate Capital
  • Grand Slam of Curling - Representing the senior secured creditor of the Grand Slam of Curling in connection with the enforcement of its security pursuant to the PPSA and the sale of the Grand Slam of Curling to Rogers Communications

RECOGNITION

Chris has been recognized as a leading practitioner in the areas of financial restructuring and insolvency by The Canadian Legal Lexpert Directory, Best Lawyers in Canada, Who’s Who Legal and  Expert Guides. In 2017, he was also honoured as one of Lexpert’s Rising Stars: Leading Lawyers Under 40.

In 2014, Chris received the Ontario Provincial Police Commissioner’s Citation for Lifesaving and the St. John Ambulance Lifesaving Award.

PROFESSIONAL INVOLVEMENT

Chris is a lecturer at the University of Western Ontario Law School where he has taught the advanced restructuring course since 2012.  In 2016, he received the University Student Council Honour Roll Award for Teaching Excellence. He has also co-authored various papers including the “The Nortel Stalking Horse Sales: Maximizing Value via CCAA Flexibility”, published in the 2012 Journal of the Insolvency Institute of Canada and “Void Against Creditors – Remedies Available to Successful Challengers under the Fraudulent Conveyances Act”, presented at the 2016 Six-Minute Debtor-Creditor and Insolvency Lawyer seminar.

Chris is actively involved in the firm’s student recruitment and mentoring programs for summer students, articling students and associates.
