For several decades, Goodmans has been among Canada’s top legal advisors on initial public offerings (IPOs). Since 2000, we have been involved in more than 50% of inbound cross-border IPOs on the Toronto Stock Exchange, and have unparalleled expertise in assisting US and international clients to successfully access the Canadian capital markets.
We have played a unique leadership role in the creation, structuring and implementation of many of Canada’s important capital markets products, including real estate investment trusts (REITs) and special purpose acquisition companies (SPACs), and are renowned for advising on many of Canada’s going public “firsts”.
Issuers, sponsors, and investment dealers regularly retain us on a broad range of other capital market matters, including short form, shelf and other follow-on offerings of equity, debt and hybrid securities, private placements, rights offerings, derivative and structured financings, and securitizations.
Further, we handle a broad range of ongoing disclosure, compliance and regulatory capital markets matters for our clients, some highly complex and sensitive, others routine.
Regulators frequently consult us on matters of capital markets policy and practice, and we have played a key role in drafting or shaping regulatory instruments. Our clients also benefit from the perspective of several of our lawyers who have held key positions with regulatory agencies.
