Steven Marmer is an associate in the business law group at Goodmans. He is developing his practice in the areas of corporate law and banking and finance law.
Steven represents lenders and borrowers on commercial financings and lending transactions, including acquisition finance, project finance, cross-border transactions and asset-based lending.
Before joining Goodmans, Steven was an associate at another large Canadian law firm practicing finance law.
Steven received his J.D. at the University of Ottawa where he was awarded numerous awards for academic excellence. While attending law school, Steven served as a teaching assistant, conducted research for two professors, served as an editor for the Ottawa Law Review and also competed in several competitive moots.
REPRESENTATIVE WORK
Steven’s experience includes representation of:
- King Street Capital Management, as lead lender, in connection with the US$750 million financing of Canopy Growth Corporation, one of Canada’s largest cannabis companies
- King Street Capital Management, as lead lender, in connection with GoodLife Fitness’s re-financing
- The Toronto-Dominion Bank, as Administrative Agent, in connection with syndicated pre-development and construction facilities to support various projects in Ontario including the Berczy Elgin residential development
- CanWel Building Materials in connection with their high yield bond issuances
- Algoma Steel Inc. in connection with its term loan and revolving financing facilities
- Wells Fargo Bank, National Association as administrative agent on numerous ABL financings
- Canaccord Genuity Group Inc. in its Credit Agreement with certain investment accounts and funds managed by HPS Investment Partners, LLC
- MCAN Mortgage Corporation and Xceed Mortgage Corporation in connection with their financing agreements
- Various U.S. law firms in several cross-border facilities, both for lenders and borrowers
- McCain Capital Partners in connection with its acquisition of Forest City Fire Protection and related entities
PROFESSIONAL INVOLVEMENT
Steven has co-authored a number of updates in the area of banking and finance, including, most recently, the Canada chapter of The Acquisition and Leveraged Finance Review 8th Edition published November 2021.
