Secondary Offering of 9,000,000 Common Shares of Norbord Inc. for $150.3 Million

Goodmans represented the syndicate of underwriters in connection with a secondary offering of Norbord Inc. ("Norbord"). Brookfield Asset Management Inc. ("Brookfield"), through a wholly-owned subsidiary, and two executives completed a bought deal offering of 9,000,000 Common Shares of Norbord, 8,680,000 of which were sold by Brookfield. The Common Shares were sold to a syndicate of underwriters at a price of $16.70 per Common Share, representing gross proceeds of approximately $150 million. Norbord did not receive any proceeds. Following the offering, Brookfield owned approximately 52% of the Common Shares of Norbord.

The syndicate of underwriters was led by TD Securities Inc. and RBC Capital Markets Inc. and included CIBC World Markets Inc., Scotia Capital Inc., Credit Suisse Securities (Canada), Inc., National Bank Financial Inc. and HSBC Securities (Canada) Inc.

Norbord Inc. is an international producer of wood-based panels with assets of $1.0 billion, employing approximately 1,950 people at 14 plant locations in the United States, Europe and Canada. Norbord is one of the world’s largest producers of oriented strand board (OSB). In addition to OSB, Norbord manufactures particleboard, medium density fibreboard (MDF) and related value-added products.
