Student Transportation Completes $83.9 Million Common Share Offering in the U.S. and Canada

Goodmans represented Student Transportation Inc. (“STI”) in connection with its completion of a bought deal offering of 10,950,000 common shares of STI in the United States and Canada at a price of $6.85 per common share for gross proceeds of $75 million. On March 23, 2012, the underwriters exercised their over-allotment option and purchased an additional 1,300,000 common shares of STI for for $8.9 million for aggregate gross proceeds of $83.9 million. The offering was underwritten by a syndicate of underwriters led by BMO Capital Markets and including Raymond James Ltd., National Bank Financial Inc., Scotia Capital Inc., Stifel Nicolaus Canada, Inc. and CIBC World Markets Inc.
The net proceeds of the offering will be used to repay debt and for general corporate purposes. Student Transportation is a provider of school bus transportation services throughout the U.S. and Canada.
