HEXO Corp.’s Successful Proxy Defense

Goodmans acted for the Board of HEXO Corp. (or the “Company) in connection with its successful proxy defence against a group of dissident shareholders led by Adam Arviv.

Adam Arviv, who through his fund Kaos Capital, owns approximately three per cent stake of HEXO's outstanding shares, called for immediate change at HEXO Corp. following the steep decline in the Company’s share prices. HEXO Corp. successfully entered into a transition agreement with Adam Arviv and Kaos Capital to refresh the Company’s board of directors.
