Hospitality
In a sector driven by evolving guest expectations, global competition, and capital‑intensive assets, Goodmans helps hospitality businesses navigate the complex commercial, operational, and regulatory issues that define today’s hotel and mixed-use resort market, with legal solutions designed to protect investments, reduce risk, and maximize returns.
For decades, we have advised global hotel brands, management companies, developers, REITs, private equity funds, investors, golf resort operators, and gaming operators across Canada, the US, and internationally. These clients have sought our counsel on matters including:
- Hotel and Resort Transactions. We advise on the acquisition, disposition, financing, and restructuring of hospitality assets, helping client’s structure and close deals efficiently while optimizing value and addressing brand, operator, and lender requirements unique to hotel and resort properties.
- Management, Franchise and Operating Agreements. We negotiate hotel management and licensing agreements for owners, operators, and brands. We do extensive and complex work representing operators of mixed-use luxury private residential and golf developments in the United States, Latin America and Canada, which in many cases involves unique land assemblies. Our approach ensures alignment between operational performance, brand standards, and ownership objectives to support long‑term asset success.
- Development, Construction and Mixed‑Use Projects. From destination resorts to urban mixed‑use developments, we support clients through land assembly, zoning, pre-development, construction, joint ventures, and development agreements. We help anticipate and resolve risk and complexity at every stage of the project lifecycle.
- Brand Protection, IP and Commercial Agreements. We safeguard hospitality brands through trademark protection, and negotiation of key commercial contracts. Our team supports the business infrastructure, technology agreements, vendor contracts, and service arrangements, that keeps hospitality operations running smoothly.
- Regulatory, Compliance and Operational Support. We assist with liquor and gaming regulation, employment matters, privacy compliance, accessibility requirements, consumer protection issues, and day‑to‑day operational risk management, helping clients remain compliant and operationally resilient.
