NorthWest Healthcare Properties REIT and NorthWest International Healthcare Properties REIT Combine to Create a Leading Global Healthcare REIT
Goodmans represented NorthWest International Healthcare Properties Real Estate Investment Trust (TSXV:MOB.UN) ("NWI") in the completion of its combination with NorthWest Healthcare Properties Real Estate Investment Trust (TSX: NWH.UN) ("NWH") creating a leading global diversified healthcare real estate investment trust with over $2 billion of assets. The combination was completed by a plan of arrangement under the Business Corporations Act (Alberta). Pursuant to the terms of the transaction, NWH acquired all of the assets of NWI and NWI unitholders received 0.208 of a NWH trust unit for each NWI trust unit held on a tax-deferred basis. All NWI convertible debentures were assumed by NWH, with the conversion prices being adjusted in accordance with their terms.
NWH now holds a portfolio of international healthcare real estate infrastructure comprised of interests in a diversified portfolio of 123 income-producing properties focused on medical office buildings, clinics, and hospitals located throughout major markets in Canada, Brazil, Germany, Australia and New Zealand.
