Overview

Juli Morrow serves as counsel at Goodmans.  Her practice initially centered on a broad range of commercial matters and now focuses on commercial real estate transactions including financings, acquisitions, dispositions, management agreements, development agreements, joint ventures and partnerships. A large part of her practice involves financing and refinancing of real estate assets, including mortgage transactions, sale/leaseback transactions, private placements and public offerings. She acted on a number of credit lease transactions in connection with commercial mortgage-backed securities.  She has also acted for issuers and underwriters in connection with the initial public offerings of several REITs.

Juli has acted for Oxford Properties Group in acquiring office buildings, retail properties, bridge financings and permanent financings. She has also acted for Merrill Lynch in a number of credit tenant-based public financings using bankruptcy remote structures and acted in connection with private placements of unsecured debentures issued by Ontrea Inc. and guaranteed by Ontario Teachers’ Pension Plan Board and private placements of unsecured debentures issued by OMERS Realty Corporation and guaranteed by Ontario Municipal Employees Retirement System. Juli has been involved in many development projects, including, currently, the development of the new Royal Bank headquarters in Toronto.

Juli has acted on a number of sale-leaseback transactions, including on behalf of H&R REIT, Canadian Tire, BMO and RBC in connection with the sale and leaseback of seven properties across Canada owned by Public Works and Government Services Canada (PWGSC).  This includes acting for H&R REIT in connection with the construction financing of The Bow project, which is a sale leaseback by EnCana Corporation of a site in Calgary for its new headquarters.

Juli is recognized as a leading practitioner of real estate law by Chambers Canada, The Legal 500 Canada, Euromoney’s Guide to the World’s Leading Women in Business Law, IFLR1000, Best Lawyers in Canada (2014 Toronto Real Estate Lawyer of the Year) and The Canadian Legal Lexpert Directory in the areas of property financing and development work. She has also been recognized by Euromoney’s Guide to the World’s Leading Real Estate Lawyers (one of the top 12 in the world) and The Best of the Best 2003, 2005, 2007 and 2009 (real estate), Chambers Global, Law Business Research’s The International Who’s Who of Real Estate Lawyers, The International Who’s Who of Business Lawyers (one of “most highly regarded individuals” in the world), Lexpert/American Lawyer Media’s Guide to the Leading 500 Lawyers in Canada and was named one of the top 25 women lawyers in Canada by Lexpert.
