Privatization of Genworth MI Canada Inc.

Goodmans LLP acted for the Special Committee of the Board of Directors of Genworth MI Canada (“Genworth Canada”) in connection with the acquisition of 37,463,334 outstanding common shares of Sagen MI Canada Inc. (formerly Genworth MI Canada Inc.) by Brookfield Business Partners L.P. together with its affiliates and institutional partners, that were not already owned by Brookfield at CDN $43.50 in cash per share for consideration of approximately CDN $1.63 billion.
