Royal Bank of Canada provides financing on £2.4 billion recommended offer for Just Group by Brookfield Wealth Solutions

Goodmans LLP is advising Royal Bank of Canada, as agent, in connection with its financing of a £2.4 billion recommended cash offer for Just Group plc (Just Group) by Brookfield Wealth Solutions (BWS).

The acquisition of Just Group will accelerate BWS’ expansion into the UK pension risk market, a core region for BWS given its status as one of the world’s pre-eminent pension markets combined with highly attractive investment opportunities. BWS plans to merge Just Group with its UK insurance business, Blumont, with the combined entity operating under the Just Group brand.

Canada-based BWS was spun off from Brookfield Corporation in 2021. BWS provides retirement services, wealth protection products, and capital solutions to individuals and institutions.
