Subversive Real Estate Acquisition REIT LP Files Preliminary Prospectus for IPO

Goodmans LLP represented Subversive Real Estate Acquisition REIT LP (“the REIT LP”) in connection with the filing of its preliminary prospectus for an initial public offering of Class A Restricted Voting Units. The REIT LP is a newly established Ontario limited partnership formed for the purpose of effecting an acquisition of one or more businesses or assets, by way of a merger, amalgamation, arrangement, equity exchange, asset acquisition, equity purchase, reorganization or any other similar business combination involving the REIT LP.

The REIT LP is a special purpose acquisition corporation (SPAC) for the purposes of the Neo Exchange, and will be the first publicly listed Canadian SPAC that is structured as a real estate investment trust. The REIT LP intends to execute a qualifying transaction which will aggregate a portfolio of properties with a focus on assets used in cannabis industries.
