Overview

Shannon Skillings is an associate in a business law group at Goodmans. She is developing a broad corporate practice acting for both private and public companies. 

Shannon’s practice is transaction-based, with a particular emphasis on public and private mergers and acquisitions, corporate finance and securities law. She advises public and private companies and their investors on a variety of transactions, including domestic and cross-border mergers and acquisitions, going private transactions, equity and debt financings and corporate governance matters. Shannon also assists clients with continuous disclosure obligations, corporate governance, reorganizations and other corporate and securities law requirements.

  • AMP Solar Group Inc. in connection with a US$374 million strategic growth investment from The Carlyle Group.
  • Practice Better, a nutrition practice management platform for Health and Wellness professionals, in connection with its US$35 million sale to Five Elms Capital.
  • Squad Security Inc. in connection with its sale to Protos Security, a tech-enabled managed security services provider.

  • Coeur Mining, Inc. in connection with its agreement with Cormark Securities Inc. to sell 5 million common shares of Victoria Gold Corp. for gross proceeds of approximately C$54.5 million.
  • Gold Royalty Corp. in connection with its acquisition of a copper stream on the Vares Silver Project operated by a subsidiary of Adriatic Metals plc from OMF Fund III (Cr) Ltd., an entity managed by Orion Mine Finance Management LP, for US$50 million.
  • TCP1 Corporation in its business combination with Atacama Copper Corporation, whereby Atacama acquired all of the issued and outstanding shares of TCP1 in exchange for common shares of Atacama in a reverse take-over transaction for proceeds of C$55 million.
