Working closely with Goodmans Procurement, Public/Private Partnerships and Alternative Finance Group, we have represented a wide variety of project participants in connection with some of Canada’s largest Public/Private Partnership financings, including sponsors such as Balfour Beatty Capital - Canada, project joint ventures such as Dundee Kilmer Developments LP, government agencies including Infrastructure Ontario and lenders such as CIT Financial Ltd. As the size and scope of PPP projects continue to increase, lenders are increasing seeking multi-layered debt arrangements involving government participation. Goodmans banking lawyers draw on their broad-based financing expertise to advise sophisticated Canadian, U.S. and international clients on increasingly complex transaction and equity participation structures, loan syndication, intercreditor arrangements and deal execution.
Recent representations include:
- Dundee Kilmer Developments Limited Partnership in connection with the approximately $600 million financing of the of the Toronto 2015 Pan/Parapan American Games Athletes’ Village design, build, finance project (2011)
- Several foreign banks as the lenders to a consortium in its connection with a short-listed bids for the $250 million Quinte Consolidated Courthouse project and the $250 million St. Thomas Consolidated Courthouse project (2010)
- Infrastructure Ontario in connection with the financing of the $300 million Ontario Highway Service Centres project (2009)
- CIT Financial Ltd., as agent for a syndicate of lenders selected by a short-listed bidder for the $350 million Ontario Ministry of Government Services Data Centre project (2008)
