Goodmans advises clients on some of the most innovative and time‑sensitive structured finance and derivatives matters in the Canadian market, including:
- Structured finance and securitization solutions. Clients seek our counsel on a broad range of structured products and financing structures, including mortgage, trade receivable and retail loan securitizations, Collateralized Loan Obligations (CLOs) and Collateralized Loan Obligations (CDOs), structured notes, covered bonds, monetizations and commercial paper programs. We support clients through transaction structuring, issuance, amendments and ongoing program management, with a focus on regulatory compliance, credit quality and investor acceptance.
- Derivatives and risk‑management transactions. Goodmans act for dealers, funds and commercial end‑users on credit, equity, FX, interest rate and commodity derivatives, including total return swaps, credit‑linked notes, repos, securities lending and debt trading arrangements. We cover documentation, netting and collateral, clearing and margining, and Canadian and cross‑border regulatory requirements.
- Restructuring, enforcement and market stress events. Clients rely on us to protect their positions, manage counterparty risk and navigate distressed or dislocated markets. We are widely recognized for our role in the successful court‑supervised restructuring of the $32 billion Canadian non‑bank asset‑backed commercial paper market—the largest of its kind in Canada.
