Searchlight Capital acquires Mitel Networks Corporation for US$2 Billion

Goodmans LLP represented Searchlight Capital Partners, L.P. (“Searchlight”) in its acquisition of Mitel Networks Corporation (“Mitel”), a global market leader in business communications, in which Searchlight acquired all the outstanding common shares of Mitel for US $11.15 per common share in cash.

The transaction involved a complicated cross border financing arrangement, and a tax-efficient post-closing reorganization of the majority of the subsidiaries of the target.
