TD Securities Inc. facilitates Nuvei Corporation’s $6.3 billion acquisition by Neon Maple Purchaser Inc.

Goodmans LLP advised TD Securities Inc. in connection to its role as financial advisor and independent valuator for the Special Committee of the Board of Nuvei Corporation (“Nuvei”) in its go-private take-over by Neon Maple Purchaser Inc. (the “Neon Maple”), an entity formed by Advent International (“Advent”).

Following the closing, Nuvei became a wholly-owned subsidiary of the Neon Maple, of which Advent, Philip Fayer, Novacap and CDPQ hold or exercise control or direction over, directly or indirectly, approximately 46%, 24%, 18% and 12%, respectively.

Nuvei is a Canadian fintech company that provides technology-driven, end-to-end payment processing solutions to businesses worldwide.
